Terms of Service

Draft notice: These terms are a working draft. They are not legally binding in their current form and will be reviewed and finalized by qualified legal counsel before any payment or reservation is opened.

Current status: The project is in idea validation. No payment is currently open. No hardware has been purchased. These terms describe the intended structure of the project as currently planned.

1. About PrivateAI 1000

PrivateAI 1000 is a proposed cooperative project. The concept is that 1000 founding members each pay a one-time $200 membership fee to collectively fund shared private AI infrastructure. In return, each founding member receives 2 years of access to the cooperative AI platform after it officially launches.

PrivateAI 1000 is currently in the waitlist and idea validation phase. No payments have been collected. No hardware has been purchased.

2. Founder membership — what it is and what it is not

Founder membership, if opened, is intended to provide platform access for 2 years after launch. The membership:

  • Is a membership for platform access only.
  • Does NOT constitute an investment of any kind.
  • Does NOT grant equity, shares, tokens, or ownership in any entity.
  • Does NOT entitle the member to any financial return, profit sharing, or dividends.
  • Does NOT guarantee unlimited platform usage.
  • Is subject to fair-use limits as described below.
  • Does NOT guarantee specific hardware, models, or launch dates beyond the cooperative's best-effort published commitments.

3. No investment, no equity, no profit sharing

PrivateAI 1000 is explicitly not an investment opportunity. Membership does not provide equity, ownership, profit sharing, dividends, or financial return of any kind. The cooperative is structured to provide platform access, not to generate financial profit for members. Do not treat this as an investment.

4. Fair-use limits

Usage limits will apply. Founder membership does not include unlimited AI usage. The cooperative operates shared GPU infrastructure with finite compute capacity. Fair-use limits are required to ensure all founding members receive equitable access. Limits may include but are not limited to:

  • Monthly token and request quotas per member account
  • Daily rate limits to prevent abuse or overconsumption
  • Maximum file upload sizes and monthly upload quotas
  • Maximum context window lengths per session
  • Request queuing to protect service quality for all members

The specific fair-use limits will be published before the reservation phase opens. Members who require higher limits may have the option to purchase additional capacity at cost.

5. No guarantee of unlimited availability

The cooperative does not guarantee 100% uptime, unlimited capacity, or uninterrupted service. The platform is operated on a best-effort basis. Planned maintenance, hardware issues, software bugs, and external factors may cause temporary unavailability. The cooperative will make reasonable efforts to minimize downtime and communicate scheduled maintenance in advance.

6. No guarantee of hardware, models, or launch date

Hardware targets, model stack, launch date, and final service details may change based on funding, pricing, legal review, and technical testing. The cooperative's hardware target is 4× H100 or better GPU infrastructure, subject to final market pricing and availability. If final costs are higher than expected, the cooperative may choose a phased launch, lease infrastructure first, purchase fewer GPUs initially, or present a revised plan to members before proceeding.

7. Refund policy (placeholder)

The final refund policy will be published before any payment or reservation is opened. The planned approach is:

  • Reservations during the founder reservation phase will be refundable up to a defined deadline.
  • If the cooperative does not reach the minimum funding target, all reservations will be refunded.
  • After the defined refund deadline, reservations may become non-refundable. Exact terms will be published in full.
  • No payment is collected during the waitlist phase. There is nothing to refund at this stage.

8. Acceptable use

Members agree to use the PrivateAI 1000 platform in accordance with acceptable use standards. Prohibited activities include but are not limited to:

  • Using the platform to generate illegal content of any kind
  • Automated scraping, bulk generation, or abuse of shared resources
  • Attempting to circumvent fair-use limits or gain unauthorized access to other members' data
  • Using the platform for activities that violate applicable laws in your jurisdiction
  • Generating content that constitutes harassment, defamation, or targeted harm toward individuals
  • Attempting to extract, reverse-engineer, or reproduce model weights hosted on the cooperative infrastructure

Violations of acceptable use may result in account suspension or termination without refund.

9. AI output disclaimer

AI-generated outputs are not guaranteed to be accurate, complete, or suitable for any specific purpose. The platform uses open-weight AI models that may produce incorrect, outdated, or misleading outputs. Members are responsible for verifying AI outputs before relying on them for important decisions. The cooperative does not accept liability for decisions made based on AI-generated content.

10. Service changes

The cooperative reserves the right to modify the platform, features, models, fair-use limits, and terms. Material changes will be communicated to members with reasonable notice. Members who disagree with material changes may have the option to request a refund subject to the refund policy in effect at that time.
